Citgo's $5.9 Billion Creditor Sale Faces an Appeals Test

The sale order

The U.S. District Court for the District of Delaware entered an order on November 29, 2025 approving a stock purchase agreement for shares of PDV Holding, Inc., Citgo Petroleum's parent. The order identifies Amber MSub LLC as the buyer and states that the transaction followed a court-supervised sale process.

The appellate posture

Reuters reported on October 21, 2026 that the U.S. Court of Appeals for the Third Circuit heard challenges to the approximately $5.9 billion creditor sale. Reuters also reported that, as of that date, the transaction still required approval from the U.S. Treasury Department because of sanctions involving Venezuela.

The existence of an appeal does not predict the outcome. Until appellate and regulatory conditions are resolved, investors should distinguish an approved transaction from a fully consummated distribution.

What creditors should watch

• The scope of the issues preserved for appeal and any request for a stay.

• Treasury licensing or other sanctions-related approvals.

• Closing conditions, transaction expenses, and the court's allocation process.

• The difference between gross sale consideration and the amount ultimately available to a particular judgment creditor.
